These Terms of Service (“Terms”) govern your use of SpendCraft's website, products, and services (collectively, the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Service Description

SpendCraft provides a self-service spend classification and analytics platform that enables business users to:

• Upload, normalize, and classify spend data
• Automatically cleanse vendor and item-level data
• Generate insights and analytics from spend information
• Create reports and dashboards for spend analysis

2. User Accounts

To access certain features, you may need to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• Ensuring all activity under your account complies with these Terms
• Providing accurate and complete information during registration
• Notifying us promptly of any unauthorized access or use

SpendCraft is not liable for any loss resulting from unauthorized account activity if caused by your failure to maintain security.

3. Acceptable Use

You agree not to use the Service to:

• Upload or process data that violates any applicable laws or regulations
• Infringe upon the intellectual property or privacy rights of others
• Transmit malware, harmful code, or disruptive content
• Attempt to gain unauthorized access to systems or data
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or related infrastructure

We reserve the right to suspend or terminate accounts that violate these provisions.

4. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by ourPrivacy Policy, which is incorporated into these Terms by reference.

• You retain ownership of all data you upload (“Customer Data”).
• SpendCraft processes Customer Data solely to provide and maintain the Service.
• SpendCraft acts as a Data Processor, and you act as the Data Controller with full control over your data.

5. Intellectual Property

All rights, title, and interest in and to the Service—including software, design, and content—remain the property of SpendCraft, Inc. and are protected by applicable intellectual property laws.

You retain ownership of any content or data you upload. By using the Service, you grant SpendCraft a limited, non-exclusive license to process and analyze your data solely to provide the Service.

6. Subscription and Payment

Certain features require a paid subscription. Subscription terms and pricing are communicated at the time of sign-up.

• Subscriptions are billed in advance on a recurring basis
• You may cancel your subscription at any time
• Refunds, if applicable, are governed by our refund policy.
• SpendCraft may adjust pricing with 30 days' advance notice.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SpendCraft does not guarantee that the Service will be uninterrupted, secure, or error-free.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPENDCRAFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

SpendCraft's total aggregate liability under these Terms shall not exceed the amount you paid to SpendCraft in the 12 months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless SpendCraft and its officers, employees, and agents from any claims, damages, liabilities, or expenses arising from:

• Your use of the Service
• Violation of these Terms, or
• Infringement of third-party rights.

10. Termination

SpendCraft may suspend or terminate your account immediately, without prior notice, if you breach these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by discontinuing use of the Service.

11. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas, which shall have exclusive jurisdiction.

12. Changes to Terms

SpendCraft may update these Terms periodically. If changes are material, we will provide at least 30 days' notice via email or within the Service before new terms take effect. Your continued use of the Service constitutes acceptance of the revised Terms.

13. Force Majeure

SpendCraft shall not be liable for delays or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of war, labor disputes, internet outages, or governmental actions.

14. Entire Agreement and Severability

These Terms, together with the Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and SpendCraft regarding your use of the Service.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
